1.About these Terms

These Terms of Service apply to your access to and use of Circulure, including our website, applications, profiles, social feeds, discovery features, messaging services, guilds, crews, adventures, gatherings, events, recommendations, paid features and related services.

In these Terms:

  • Circulure, we, us and our mean E-SportsLeague Pty Ltd, ABN/ACN 160 249 463, trading as Circulure.
  • Platform means the Circulure website, applications and services.
  • User, you and your mean the person accessing or using Circulure.
  • Content includes text, photographs, images, videos, audio, comments, messages, profile information, listings and other material.
  • User Content means Content submitted, uploaded, posted, sent or otherwise made available by a User.
  • Gathering includes an adventure, event, activity, meetup or other online or in-person activity promoted, created or organised through Circulure.
  • Host means a User who creates, manages, promotes or organises a Gathering.

By creating an account, clicking to accept these Terms or using Circulure, you agree to be bound by:

  1. these Terms;
  2. our Privacy Policy;
  3. our Community Guidelines;
  4. our Gathering and Adventure Safety Rules;
  5. any additional terms displayed for a particular feature, promotion or paid service.

If you do not agree, you must not create an account or use Circulure.

2.Eligibility and minimum age

2.1 Australian Users

You must be at least 16 years old to create, hold or use a Circulure account in Australia.

A parent or guardian cannot create an account for an Australian child under 16 for the purpose of allowing that child to use Circulure.

2.2 Users outside Australia

Users outside Australia must:

  • be at least 16 years old;
  • meet any higher minimum age required by the laws applying where they live; and
  • have the legal capacity to agree to these Terms.

2.3 Age assurance

We may take reasonable and proportionate steps to confirm that you meet our minimum-age requirements.

These steps may include:

  • requesting confirmation of your age;
  • using an independent age-assurance provider;
  • requesting further information where an account appears to be underage;
  • asking you to repeat an age check;
  • restricting account features while a check is pending;
  • suspending or deactivating an account reasonably believed to be held by an underage person;
  • detecting attempts to evade age restrictions.

Where reasonably practicable, we will seek to receive an age eligibility result rather than retain copies of identity documents.

Information used for age assurance will be handled in accordance with our Privacy Policy and applicable law.

You must not:

  • provide a false date of birth;
  • use another person’s identity or verification result;
  • submit altered or fraudulent documents;
  • create another account to evade an age restriction;
  • assist an underage person to access Circulure.

3.Your account

You must provide accurate, current and complete information when creating and maintaining your account.

You are responsible for:

  • protecting your password and login credentials;
  • activities conducted through your account;
  • keeping your email address and account details current;
  • promptly notifying us of suspected unauthorised access;
  • ensuring that your use of Circulure complies with these Terms.

You must not:

  • impersonate another person or organisation;
  • misleadingly claim an affiliation, qualification, licence or authority;
  • create an account for someone else without authority;
  • sell, rent, transfer, licence or share your account;
  • create multiple accounts to deceive Users or avoid restrictions;
  • use another person’s account;
  • create accounts through automated means without our written approval.

We may limit the number of accounts a person may maintain.

Contact us immediately at info@megerskill.com if you believe your account has been compromised.

4.What Circulure provides

Circulure provides social and communication tools that may allow Users to:

  • create profiles;
  • find and connect with people;
  • receive recommendations;
  • communicate through direct or group messaging;
  • join crews and guilds;
  • share posts, photographs, comments and moments;
  • create and discover Gatherings;
  • organise social activities;
  • use profile customisation and gamification features;
  • access paid or premium features.

Circulure facilitates introductions and communication between Users. Unless we expressly say otherwise for a specific event or service, Circulure is not the organiser, employer, agent, representative, insurer or supervisor of Users.

5.Recommendations and matching

Circulure may recommend people, profiles, groups, guilds, Content or Gatherings based on information such as:

  • your selected city or area;
  • interests and profile preferences;
  • tags;
  • connections and crew relationships;
  • guild participation;
  • activity history;
  • engagement with Circulure features;
  • information you choose to provide.

A recommendation is a suggestion only.

Unless expressly stated otherwise, a Circulure recommendation does not mean that we have:

  • verified the identity of the User;
  • completed a criminal-history or background check;
  • verified all profile information;
  • assessed the User’s psychological suitability;
  • guaranteed compatibility;
  • endorsed the person, group or Gathering;
  • determined that meeting the person is free from risk.

You are responsible for exercising your own judgment before communicating with or meeting another User.

6.User conduct

You must treat other Users respectfully and use Circulure lawfully.

You must not use Circulure to:

  • threaten, intimidate, harass, bully or stalk another person;
  • engage in unwanted repeated contact;
  • publish another person’s private information without permission;
  • reveal or threaten to reveal someone’s home address, precise location or contact details;
  • engage in hate-based abuse or unlawful discrimination;
  • groom, exploit or sexually target a minor;
  • distribute child sexual exploitation or abuse material;
  • solicit sexual content from a minor;
  • share non-consensual intimate images;
  • engage in sexual extortion;
  • promote or coordinate violence, terrorism or violent extremism;
  • make credible threats of harm;
  • impersonate or deceptively misrepresent another person;
  • commit fraud, phishing, identity theft or financial deception;
  • operate a pyramid scheme or fraudulent fundraising campaign;
  • distribute malware or harmful code;
  • attempt to obtain another User’s password or authentication information;
  • scrape, harvest or extract User information without written permission;
  • create artificial engagement, fake reactions or misleading popularity;
  • send spam or unauthorised commercial messages;
  • advertise or sell unlawful goods or services;
  • facilitate trafficking or sexual exploitation;
  • coordinate criminal activity;
  • infringe intellectual property, privacy, confidentiality or other legal rights;
  • publish unlawful defamatory material;
  • evade a block, suspension, ban or age restriction;
  • interfere with the operation or security of Circulure.

Our Community Guidelines form part of these Terms and may contain more detailed standards.

7.User Content

7.1 Your ownership

You retain ownership of the User Content you create and submit.

7.2 Licence to Circulure

When you submit User Content, you grant Circulure a non-exclusive, worldwide, royalty-free licence to:

  • host;
  • store;
  • reproduce;
  • transmit;
  • display;
  • format;
  • resize;
  • adapt for technical presentation;
  • distribute within Circulure;
  • moderate;
  • secure;
  • back up; and
  • otherwise use that User Content as reasonably necessary to operate, provide, protect and improve Circulure.

This licence allows us, for example, to display a profile photograph, resize an uploaded image, show a post in a feed or make Content available to Users you have chosen to share it with.

This licence does not transfer ownership of your User Content to us.

Subject to legal, safety, backup and technical retention requirements, the licence ends when your User Content is deleted from our active systems.

Content may remain available where:

  • another User has shared or quoted it;
  • it forms part of a group conversation;
  • we must retain it for legal, safety, fraud-prevention or dispute purposes;
  • it remains temporarily within secure backups;
  • it has been de-identified or aggregated so that it no longer identifies you.

We will not use an identifiable photograph of you in unrelated off-platform advertising without obtaining any additional permission required by law.

7.3 Your responsibilities

You represent and warrant that:

  • you own your User Content or have permission to use and submit it;
  • you have permission from identifiable people shown in the Content where permission is required;
  • your User Content does not infringe copyright, privacy, confidentiality, publicity or other rights;
  • your User Content is not unlawful, fraudulent or misleading;
  • your User Content does not contain malicious code;
  • you have not misrepresented the source or purpose of the Content.

You remain responsible for your User Content.

8.Private messages and communications

Circulure may provide direct and group messaging features.

You must not assume that a message will remain confidential where:

  • another recipient saves, copies, records or shares it;
  • it is reported to Circulure;
  • disclosure is required by law;
  • access is reasonably necessary to protect safety, investigate abuse or maintain the Platform;
  • an account is accessed without authority.

We do not promise that messages are end-to-end encrypted unless a particular feature is expressly described as end-to-end encrypted.

We may use automated and human systems to detect spam, fraud, abuse, security threats and serious safety risks, subject to our Privacy Policy and applicable law.

9.Gatherings, adventures and real-world activities

9.1 User-organised Gatherings

Unless Circulure expressly identifies itself as the organiser, Gatherings created by Users are independently organised by those Users.

The Host, not Circulure, is responsible for organising and managing the Gathering.

Circulure does not automatically verify:

  • the Host’s identity;
  • the Host’s experience or qualifications;
  • the accuracy of the Gathering description;
  • the safety of a location;
  • the suitability of an activity;
  • the availability of insurance;
  • licences or permits;
  • accessibility arrangements;
  • the conduct of attendees.

9.2 Host responsibilities

A Host must:

  • provide accurate and current information;
  • clearly disclose material costs;
  • clearly describe the nature of the activity;
  • disclose significant known risks;
  • provide accurate time and location information;
  • state any age, fitness, accessibility or equipment requirements;
  • comply with applicable laws, permits, venue rules and licensing requirements;
  • avoid unsafe attendance numbers;
  • update or cancel a Gathering if circumstances materially change;
  • not falsely claim that Circulure sponsors, endorses or operates the Gathering;
  • treat attendees fairly and respectfully;
  • take reasonable steps to address foreseeable safety issues.

A Host must not organise a Gathering for an unlawful, deceptive, exploitative or dangerous purpose.

9.3 Attendee responsibilities

Before attending a Gathering, you should assess whether it is appropriate for you.

You are responsible for:

  • deciding whether to attend;
  • reviewing the description, location, costs and requirements;
  • making your own transport arrangements;
  • following lawful safety instructions and venue rules;
  • disclosing relevant accessibility needs directly to the Host where appropriate;
  • using appropriate equipment;
  • avoiding participation while impaired;
  • acting responsibly around alcohol;
  • leaving an activity if you reasonably consider it unsafe.

When meeting someone for the first time, you should consider:

  • meeting in a public place;
  • telling a trusted person where you are going;
  • arranging independent transportation;
  • protecting your home address and precise location;
  • keeping access to a charged phone;
  • contacting emergency services where there is an immediate danger.

9.4 Higher-risk activities

Some activities involve inherent risks, including hiking, swimming, boating, cycling, climbing, contact sports, adventure sports and physically demanding activities.

Hosts must not represent themselves as trained, qualified, insured or licensed unless that representation is accurate.

Additional rules or acknowledgements may apply to particular activity categories.

9.5 Circulure-operated events

Where Circulure is the organiser of a Gathering, this will be clearly stated. Additional event terms, cancellation conditions, safety information and refund rules may apply.

Nothing in this section excludes rights or guarantees that cannot lawfully be excluded.

10.Location information

Circulure may use information about your selected city, suburb, broad area or device location to provide local discovery and recommendation features.

You must not use location information to:

  • stalk or monitor another person;
  • publish someone’s home address without permission;
  • threaten or intimidate another person;
  • create a deceptive or unsafe Gathering location;
  • conduct unlawful surveillance;
  • infer or disclose sensitive information unlawfully.

Precise location access will be requested only where required for a feature and will be handled in accordance with our Privacy Policy and your device permissions.

You should carefully consider whether to share your home address or live location with another User.

11.Guilds, crews and groups

Users may be able to create or join guilds, crews, chats or other groups.

Group founders, administrators and moderators must:

  • act honestly;
  • apply group rules fairly;
  • not misuse administrative access;
  • protect member information;
  • address reports appropriately;
  • comply with these Terms and our Community Guidelines.

Being a group administrator does not make that person an employee, agent or representative of Circulure.

We may remove a group, replace or restrict administrators, preserve group records or limit group functionality where reasonably necessary for safety, legal compliance or enforcement of these Terms.

12.Reporting and blocking

Circulure may provide tools to report Content, Users, messages, Gatherings or groups.

Reports should be made honestly and in good faith. You must not knowingly make false reports or use reporting systems to harass another User.

We may:

  • assess reports using automated and human review;
  • request further information;
  • preserve relevant Content and account records;
  • restrict Content while reviewing a report;
  • notify affected Users where appropriate;
  • refer serious matters to law enforcement or regulators where permitted or required;
  • take no action where the available information does not establish a breach.

We cannot guarantee a particular outcome or disclose every action taken.

Blocking a User may limit future interaction but may not remove:

  • existing group Content;
  • Content already shared with others;
  • records retained for safety or legal reasons;
  • historical communications available to other participants.

If someone is in immediate danger, contact emergency services. Circulure is not an emergency-response service.

13.Moderation and enforcement

We may take reasonable and proportionate action where we reasonably believe:

  • these Terms or our policies have been breached;
  • a User presents a safety or security risk;
  • an account is underage;
  • unlawful activity has occurred;
  • action is necessary to comply with law or a lawful direction;
  • an account has been compromised;
  • action is necessary to protect Circulure or its Users.

Actions may include:

  • issuing a warning;
  • removing or restricting Content;
  • reducing the visibility of Content;
  • limiting messaging or discovery;
  • restricting the creation of Gatherings or groups;
  • removing administrative privileges;
  • temporarily locking an account;
  • requiring age or security verification;
  • suspending an account;
  • permanently terminating an account;
  • preventing the creation of replacement accounts;
  • preserving relevant evidence.

We may act immediately and without advance notice where reasonably necessary to address:

  • child safety;
  • violence or credible threats;
  • serious harassment;
  • non-consensual intimate imagery;
  • fraud;
  • account compromise;
  • terrorism or violent extremism;
  • serious unlawful activity;
  • an urgent risk of harm.

Where reasonably appropriate, we will provide the general reason for significant enforcement action and information about any available appeal.

We are not required to restore Content or an account where restoration would be unlawful, technically impracticable or create a serious safety or security risk.

14.Appeals

Where an appeal is available, you may submit it through the method identified in the enforcement notice or by contacting info@megerskill.com.

An appeal should include:

  • your account information;
  • the decision being challenged;
  • why you believe the decision was incorrect;
  • any relevant supporting information.

Appeals will be reviewed in good faith. Review may result in the decision being confirmed, varied or reversed.

Repeated, abusive or substantially identical appeals may be closed without further review.

15.Intellectual property belonging to Circulure

Circulure and its licensors own all rights in the Platform other than User Content, including rights relating to:

  • the Circulure name and branding;
  • software and source code;
  • interfaces and layouts;
  • graphics, icons and animations;
  • profile-card designs and templates;
  • badges and gamification systems;
  • databases;
  • written Platform Content;
  • recommendation systems;
  • Platform documentation.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable right to access and use Circulure for its intended purposes.

You must not, except where permitted by law or with our written approval:

  • copy or commercially exploit the Platform;
  • reverse engineer or attempt to derive source code;
  • bypass access or security controls;
  • frame or mirror substantial parts of Circulure;
  • extract or reproduce a substantial part of our database;
  • scrape User profiles, photographs or contact details;
  • use Circulure data to train a facial-recognition system;
  • use Circulure data to train an external artificial-intelligence model;
  • resell access to Circulure;
  • use our branding in a misleading manner.

Nothing in these Terms transfers ownership of Circulure intellectual property to you.

16.Copyright complaints

If you believe Content on Circulure infringes your copyright, contact:

Your notice should include:

  • your name and contact details;
  • identification of the copyrighted work;
  • identification and location of the disputed Content;
  • an explanation of your ownership or authority;
  • a statement that your complaint is made in good faith;
  • any supporting information.

We may remove or restrict disputed Content while assessing a complaint.

We may notify the User who submitted the Content and may provide an opportunity to respond.

Knowingly submitting a false or misleading copyright complaint may expose you to liability.

17.Privacy

Our Privacy Policy explains how we collect, use, disclose, retain and protect personal information.

By using Circulure, you acknowledge that your personal information will be handled as described in the Privacy Policy and any notices presented when information is collected.

You are not required to consent to unrelated marketing merely because you accept these Terms.

Where Circulure asks for access to sensitive information, precise location, identity information or age-assurance information, we will provide any additional notice or request any consent required by law.

18.Marketing communications

We may send you operational communications reasonably necessary to provide Circulure, including:

  • account-security notices;
  • verification messages;
  • policy and legal notices;
  • service updates;
  • safety notices;
  • transaction and subscription information;
  • messages relating to reports or enforcement.

We will obtain any consent required before sending commercial electronic marketing messages.

Marketing messages will include an unsubscribe or preference-management option where required by law.

Unsubscribing from marketing will not necessarily stop essential service, safety, security or account communications.

19.Paid services and subscriptions

Circulure may offer paid features, subscriptions or digital benefits.

Before you purchase, we will display applicable information including:

  • the price;
  • currency;
  • billing frequency;
  • subscription period;
  • whether automatic renewal applies;
  • trial conditions;
  • included features;
  • cancellation method;
  • any material limitations.

19.1 Payments

You authorise us and our payment providers to charge the payment method you select for the amounts displayed at purchase.

Prices include GST where stated or required.

You must provide accurate billing information.

19.2 Automatic renewal

Where a subscription automatically renews, it will continue for the renewal period disclosed at purchase unless you cancel before the applicable renewal date.

We will not rely on automatic renewal unless it was reasonably disclosed before purchase.

19.3 Cancellation

You may cancel an automatically renewing subscription through the available account or subscription settings, subject to any applicable app-store process.

Unless otherwise stated, cancellation takes effect at the end of the current paid billing period.

You will continue to have access to paid features until that time unless:

  • a refund is issued;
  • the account is terminated for serious misconduct;
  • continued access would be unlawful or create a serious safety or security risk.

19.4 Refunds

Refunds will be provided where required by the Australian Consumer Law or other applicable law.

We may also provide refunds in other circumstances at our discretion.

Nothing in these Terms excludes a refund, replacement, re-supply or other remedy that you are legally entitled to receive.

19.5 Price changes

We may change subscription prices.

For an existing automatically renewing subscription, a price increase will not apply before we provide reasonable advance notice.

The notice will identify the new price and when it is expected to take effect. You may cancel before the higher price applies.

19.6 App stores

Where a purchase is made through Apple, Google or another app-store provider, its payment and cancellation rules may also apply.

20.Promotions and rewards

Circulure may offer rewards, badges, points, referrals, competitions or promotional benefits.

Unless expressly stated otherwise:

  • virtual points and badges have no cash value;
  • they are not property, currency or stored value;
  • they cannot be sold or transferred;
  • they may be adjusted to correct errors or abuse;
  • eligibility may depend on compliance with these Terms;
  • additional promotion terms may apply.

We will not remove a paid entitlement arbitrarily or in a way that unlawfully deprives you of a consumer remedy.

21.Third-party services

Circulure may interact with independent third-party services, including:

  • payment processors;
  • cloud-hosting providers;
  • mapping providers;
  • identity or age-assurance providers;
  • analytics providers;
  • authentication providers;
  • email and notification providers;
  • third-party websites and venues.

Independent third parties may have their own terms and privacy practices.

We are not responsible for matters solely within the control of an independent third party, subject to any responsibility that cannot lawfully be excluded.

A link or integration does not necessarily mean Circulure endorses the third party.

22.Availability and Platform changes

We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free or continuously available access.

Circulure may be unavailable due to:

  • maintenance;
  • technical faults;
  • security incidents;
  • internet or telecommunications failures;
  • third-party outages;
  • emergencies;
  • events outside our reasonable control.

We may update, modify, test, replace or discontinue features.

Where a change materially reduces a paid service, we will take reasonable steps to provide notice and any remedy required by law.

Beta or experimental features may be incomplete, changed or withdrawn.

23.Account suspension, termination and deletion

23.1 Termination by you

You may stop using Circulure at any time.

You may request account deletion through available account settings or by contacting info@megerskill.com.

Deleting your account is separate from cancelling a paid subscription. You should cancel any subscription through the applicable billing provider before deleting your account.

23.2 Termination by Circulure

We may suspend or terminate an account in accordance with section 13.

Where an account is terminated and you have paid in advance, we will consider whether a pro-rata refund or other remedy is appropriate, taking into account:

  • the reason for termination;
  • services already supplied;
  • serious or repeated misconduct;
  • fraud or payment reversal;
  • applicable consumer law.

23.3 Effect of deletion

Following deletion, some information may remain where reasonably necessary for:

  • legal compliance;
  • safety investigations;
  • fraud prevention;
  • payment and accounting records;
  • dispute resolution;
  • enforcement;
  • secure backup cycles;
  • protection of legal rights.

Group messages, comments or Content shared with other Users may remain visible where removing them would alter another User’s record or conversation. We may de-identify such Content where appropriate.

24.Consumer guarantees

Nothing in these Terms excludes, restricts or modifies:

  • any consumer guarantee;
  • any right or remedy;
  • any liability;

where doing so would be unlawful, including under the Australian Consumer Law.

Where services supplied by us fail to comply with a non-excludable consumer guarantee, you may be entitled to a remedy under applicable law.

The type of remedy may depend on whether the failure is major or minor.

25.Disclaimers

Subject to section 24 and to the maximum extent permitted by law:

  • User Content reflects the views of Users, not necessarily Circulure;
  • we do not guarantee that every profile or statement is accurate;
  • we do not guarantee that another User will behave lawfully or safely;
  • we do not guarantee that recommendations will be compatible or suitable;
  • we do not guarantee the safety or suitability of independently organised Gatherings;
  • you are responsible for assessing interactions and activities;
  • online and in-person social interaction involves risks that cannot be completely eliminated.

Nothing in these Terms excludes liability arising from our fraud, wilful misconduct or any liability that cannot lawfully be excluded.

26.Limitation of liability

This section operates only to the extent permitted by law.

We are not liable for loss that:

  • was not reasonably foreseeable;
  • was not caused by our breach;
  • resulted from your unlawful or unauthorised conduct;
  • resulted from your failure to take reasonable precautions;
  • arose solely from the conduct of an independent User or third party outside our reasonable control.

We do not exclude liability for:

  • death or personal injury where liability cannot lawfully be excluded;
  • fraud or wilful misconduct;
  • breach of non-excludable consumer guarantees;
  • any other liability that cannot lawfully be excluded or limited.

For services not ordinarily acquired for personal, domestic or household use, where the law permits us to limit our liability for failure to comply with a consumer guarantee, our liability may be limited at our option to:

  • supplying the services again; or
  • paying the reasonable cost of having the services supplied again.

No provision of these Terms should be interpreted as applying more broadly than legally permitted.

27.Your responsibility for third-party claims

To the extent permitted by law, you are responsible for reasonable loss, liability or expense arising from a third-party claim caused by:

  • unlawful User Content you submitted;
  • your infringement of another person’s intellectual property or privacy rights;
  • fraud or deliberate unlawful conduct by you;
  • a Gathering you organised in breach of these Terms or applicable law;
  • your material breach of these Terms.

You are not responsible under this section to the extent the claim or loss was caused by:

  • Circulure’s negligence;
  • Circulure’s breach of law;
  • Circulure’s fraud or wilful misconduct;
  • a matter outside your reasonable control.

We will take reasonable steps to mitigate any loss claimed under this section.

28.Legal requests and disclosures

We may preserve, access or disclose information where we reasonably believe it is necessary to:

  • comply with applicable law;
  • respond to valid legal process;
  • comply with a regulator or court order;
  • investigate suspected fraud or unlawful conduct;
  • enforce these Terms;
  • protect the rights and safety of a person;
  • respond to a serious threat;
  • protect the security and integrity of Circulure.

We will assess legal requests and may reject requests that are invalid, overly broad or not legally binding.

29.Changes to these Terms

We may update these Terms to reflect:

  • changes to Circulure;
  • new features;
  • legal or regulatory requirements;
  • safety or security needs;
  • operational changes;
  • improved clarity.

For minor or administrative updates, we may update the “Last updated” date and publish the revised Terms.

For material changes, we will provide reasonable advance notice through Circulure, email or another appropriate method.

Where a material change affects a paid subscription, we will provide any notice or cancellation opportunity required by law.

Changes will not apply retroactively unless required by law or expressly agreed.

Your continued use after the effective date of revised Terms constitutes acceptance of those revised Terms. If you do not accept a material change, you may stop using Circulure and close your account.

30.Complaints

You may submit a complaint by emailing info@megerskill.com.

Please include:

  • your name or account username;
  • contact information;
  • a clear description of the issue;
  • relevant dates;
  • relevant screenshots or links;
  • the outcome you are seeking.

We will consider complaints in good faith and may request further information.

Nothing in this section prevents you from contacting:

  • the Australian Competition and Consumer Commission;
  • NSW Fair Trading or another consumer-protection agency;
  • the Office of the Australian Information Commissioner;
  • the eSafety Commissioner;
  • the Australian Communications and Media Authority;
  • law enforcement;
  • a court or tribunal;

where you have the right to do so.

31.Dispute resolution

Before starting court proceedings, you and Circulure agree to attempt to resolve the dispute in good faith by written communication, unless:

  • urgent court relief is required;
  • there is an immediate safety risk;
  • the claim concerns unlawful Content;
  • a legal limitation period is about to expire;
  • applicable law gives either party a right to proceed immediately.

To begin this process, email info@megerskill.com and provide a description of the dispute and the resolution sought.

This section does not require a consumer to participate in compulsory arbitration or waive a right provided by law.

32.Governing law

These Terms are governed by the laws of New South Wales, Australia.

You and Circulure submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them.

Nothing in this section limits a right you may have under applicable consumer law to bring a claim in another jurisdiction.

33.General provisions

33.1 Entire agreement

These Terms and the policies incorporated into them form the agreement between you and Circulure concerning the Platform.

33.2 Severability

If a provision is unlawful, invalid or unenforceable, it will be read down to the minimum extent necessary. If it cannot be read down, it will be severed without affecting the remaining provisions.

33.3 No waiver

A failure or delay in enforcing a right does not waive that right.

33.4 Assignment

You may not transfer your rights or obligations under these Terms without our written consent.

We may transfer our rights and obligations as part of a genuine corporate restructure, financing, merger or sale of the business, provided that the transfer does not materially reduce your rights contrary to law.

33.5 No partnership or agency

These Terms do not create a partnership, employment relationship, joint venture or agency relationship between you and Circulure.

33.6 Headings

Headings are included for convenience and do not affect interpretation.

33.7 Language

These Terms are written in English. Any translation is provided for convenience. To the extent legally permitted, the English version prevails where there is an inconsistency.
